Affiliate Terms & Conditions
1. Introduction
These Affiliate Terms and Conditions govern the relationship between Zendrian Asia Limited (hereafter referred to as “CosplaySpa”) and the affiliate (hereafter referred to as “Affiliate”). The Affiliate agrees to abide by these terms to promote and sell products offered on Cosplayspa.com under this Affiliate Marketing Program.
2. Intellectual Property
The Affiliate acknowledges that all trademarks, copyrights, and intellectual properties provided by CosplaySpa such as logos, images, and marketing materials remain the sole property of Zendrian Asia Limited. The Affiliate may not modify, alter, or misuse any provided materials and must cease their use immediately upon termination of the Affiliate relationship.
3. Affiliate Obligations and Content Guidelines
– The Affiliate agrees to create high-quality content that aligns with CosplaySpa’s brand values.
– Content must not depict children in 18+ or adult-themed settings.
– Use of third-party trademarks or branded characters without permission in promotions is prohibited.
– All promotional emails must be sent to opt-in lists and must avoid spam tactics.
4. Disclosure Requirements
Affiliates must comply with the FTC’s guidelines on endorsements and must clearly disclose their compensatory relationship with Cosplayspa.com in all promotional content.
5. Data Privacy and Security
Affiliates must comply with all relevant data protection laws, including GDPR where applicable, ensuring secure and lawful handling of all personal data obtained through affiliate marketing activities.
6. Performance and Anti-Fraud Measures
– CosplaySpa reserves the right to monitor affiliate activities for fraudulent practices.
– Any artificial increase in affiliate payouts through deceptive practices will lead to immediate account termination and forfeiture of all unpaid commissions.
7. Termination Procedures
– CosplaySpa may start an investigation into any suspected inappropriate activities by the Affiliate, potentially leading to immediate suspension without earnings during the investigation period.
– Affiliates must cooperate fully, providing truthful responses and full disclosure.
– Violation of terms will lead to immediate termination with a possibility to reapply after one year.
– CosplaySpa may terminate or modify these Terms & Conditions with a 15-day prior notification.
8. Financial Terms
– Tracking Cookie Duration: 30 days
– Affiliate Credit: Awarded for the last Affiliate click prior to purchase
– Minimum Payout: $50
– Commission Rate: 24.9%
– Payments are processed monthly via PayPal, contingent upon reaching the minimum payout amount.
– Commissions are deemed earned post the 45-day refund grace period and exclude the value of shipping and taxes.
9. Indemnification
The Affiliate shall indemnify and hold harmless CosplaySpa from any losses, damages, or expenses incurred due to breaches of these terms.
10. Limitation of Liability
CosplaySpa will not be liable for indirect, special, or consequential damages arising from this affiliate agreement.
11. Governing Law and Dispute Resolution
– These terms shall be governed by the laws of Hong Kong.
– Any disputes under this agreement will be resolved through binding arbitration in accordance with the rules of Hong Kong.
12. Miscellaneous
– Affiliates do not represent CosplaySpa and may not speak on behalf of the company.
– It is the Affiliate’s responsibility to maintain a valid email address for communications regarding this program.
